These Terms and Conditions (“Terms”) govern your access to and use of SongWatch, available at songwatch.io, and related services, features, websites, and applications (the “Service”).

The Service is operated by Slipway Labs, LLC (“Slipway Labs,” “we,” “us,” or “our”).

By accessing or using SongWatch, creating an account, connecting your Spotify account, enabling notifications, starting a trial, or purchasing a subscription, you agree to these Terms. If you do not agree to these Terms, do not use SongWatch.

1. The Service

SongWatch helps users receive browser push notifications about newly released Spotify songs and albums from artists they follow on Spotify.

SongWatch connects to Spotify through Spotify OAuth. With your authorization, SongWatch may access your Spotify account information, including your Spotify ID, display name, email address, and followed artists list, as described in our Privacy Policy.

SongWatch is not affiliated with, endorsed by, sponsored by, or officially associated with Spotify or PayPal.

2. Eligibility

You must be at least 16 years old to use SongWatch.

By using SongWatch, you represent and warrant that:

  • You are at least 16 years old.
  • You have the legal capacity to agree to these Terms.
  • You will use the Service only in compliance with these Terms and applicable law.
  • Any information you provide to us is accurate and complete.

If you are under 16, you may not use SongWatch.

3. Your Account

To use SongWatch, you must sign in using Spotify OAuth.

You are responsible for maintaining access to your Spotify account, your email address, your browser or device, and any other credentials or systems needed to use the Service.

You agree not to:

  • Use another person's Spotify account without permission.
  • Provide false, misleading, or inaccurate information.
  • Attempt to access another user's account or data.
  • Interfere with the operation, security, or integrity of SongWatch.
  • Use SongWatch for unlawful, abusive, fraudulent, or unauthorized purposes.

You are responsible for all activity associated with your account.

4. Spotify Connection

SongWatch depends on Spotify account access and Spotify data made available through Spotify's platform.

You acknowledge that:

  • SongWatch requires a valid Spotify account connection to provide core functionality.
  • Spotify may change, limit, suspend, or discontinue APIs, data access, scopes, features, or platform functionality.
  • SongWatch may not work correctly if your Spotify account is disconnected, if you revoke Spotify permissions, or if Spotify data is unavailable, delayed, inaccurate, or incomplete.
  • Spotify's own terms and policies apply to your use of Spotify.

We are not responsible for Spotify's services, data, systems, availability, policies, or actions.

5. Browser Push Notifications

SongWatch allows you to opt in to browser push notifications.

Push notifications may include links to newly released Spotify songs and albums from artists you follow. Notification delivery depends on factors outside our control, including your browser, device, operating system, notification settings, internet connection, push subscription status, and third-party push delivery systems.

You acknowledge that:

  • Push notifications may be delayed, missed, duplicated, or not delivered.
  • SongWatch does not guarantee that you will receive every notification.
  • SongWatch does not guarantee that notifications will be delivered at any specific time.
  • You can disable push notifications through your browser, device, or operating system settings.

6. No Guarantee of Release Detection or Notification Accuracy

SongWatch is designed to help identify newly released Spotify songs and albums from artists you follow, but we do not guarantee completeness, accuracy, timing, or availability.

You acknowledge that:

  • SongWatch may not detect every release.
  • Some releases may be detected late.
  • Some notifications may contain incomplete, outdated, or inaccurate information.
  • Spotify data may change or may not reflect all releases.
  • Third-party systems may affect whether SongWatch functions correctly.

SongWatch is provided as a convenience tool and should not be relied on as a complete, guaranteed, or official source of Spotify release information.

7. Subscriptions and Billing

SongWatch may offer paid subscriptions. Subscription pricing, billing intervals, trial terms, and available features will be shown at checkout or in the Service.

Payments are processed by PayPal Subscriptions. By starting a paid subscription, you authorize PayPal to charge your selected payment method on a recurring basis until your subscription is cancelled.

We do not process or store your full payment card number, CVV, or bank account details in our application database.

Your use of PayPal is subject to PayPal's own terms, policies, and privacy practices.

8. Automatic Renewal

Unless you cancel before the end of your current billing period, your SongWatch subscription will automatically renew, and PayPal will charge your selected payment method for the next billing period.

The renewal amount and billing interval will be shown during checkout.

You are responsible for reviewing your subscription details and cancelling before renewal if you do not want to continue your subscription.

9. Free Trials and Promotional Access

SongWatch may offer free trials, discounted periods, promotional access, or complimentary accounts.

If you start a paid subscription during a free trial, your free trial ends immediately, and your paid subscription period begins immediately.

Unless otherwise stated, you must cancel before a free trial or promotional period ends to avoid being charged.

We may modify, suspend, or discontinue free trials, promotional offers, or complimentary access at any time.

10. Cancellation

You may cancel your SongWatch subscription through the in-app subscription or account settings.

You may also be able to manage or cancel your subscription through your PayPal account, where available, or by contacting us at patrick@songwatch.io.

When you cancel your subscription, future recurring charges will stop. Unless otherwise stated in the app, cancelling your subscription allows you to continue using paid features until the end of your current paid billing period.

Cancellation does not automatically refund charges that have already been processed.

11. Account Deletion

You may delete your SongWatch account using the in-app account deletion feature.

Deleting your SongWatch account automatically cancels your active SongWatch subscription. When you delete your account, your SongWatch account and active subscription end at the same time, including cancellation of the associated PayPal subscription.

Because account deletion ends your access immediately, you will not continue to have access to paid features through the end of the billing period after deleting your account.

Deleting your account does not automatically refund charges that have already been processed.

Account deletion is described further in our Privacy Policy.

12. Refunds

Refunds are governed by our Refund and Cancellation Policy.

Except where required by law, subscription fees are generally non-refundable once charged.

We may, at our discretion, issue full or partial refunds in limited circumstances, such as duplicate charges, billing errors, technical issues that prevented meaningful use of the Service, accidental renewal shortly after a billing date, or other circumstances we determine are appropriate.

13. Failed Payments, Disputes, and Chargebacks

If PayPal is unable to process a recurring payment, your subscription may become past due, suspended, cancelled, or otherwise limited.

If a payment is reversed, refunded, disputed, charged back, or fails, we may cancel, suspend, restrict, or terminate your access to paid features or the Service.

If you open a PayPal dispute, chargeback, or payment reversal, we may suspend or limit access to SongWatch while the issue is reviewed.

14. Acceptable Use

You agree not to:

  • Violate any applicable law or regulation.
  • Interfere with, disrupt, overload, or damage the Service.
  • Attempt to gain unauthorized access to SongWatch, our systems, or another user's account.
  • Reverse engineer, scrape, crawl, copy, modify, or create derivative works from the Service except as permitted by law.
  • Use bots, scripts, automated systems, or unauthorized tools to access the Service.
  • Use SongWatch to send spam, abusive content, unlawful content, or harmful code.
  • Circumvent usage limits, security measures, subscription requirements, or access controls.
  • Misrepresent your identity or affiliation.
  • Use the Service in a way that could harm Slipway Labs, SongWatch, Spotify, PayPal, other users, or third parties.

We may investigate suspected violations and take any action we consider appropriate, including suspending or terminating accounts.

15. Intellectual Property

SongWatch, including its software, design, text, graphics, branding, features, and functionality, is owned by Slipway Labs, LLC or its licensors and is protected by intellectual property and other laws.

These Terms do not grant you ownership of SongWatch or any intellectual property rights in the Service.

Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use SongWatch for your personal, non-commercial use.

16. Third-Party Services and Links

SongWatch integrates with or links to third-party services, including Spotify and PayPal.

We are not responsible for third-party services, websites, content, data, systems, terms, policies, availability, or actions.

Your use of third-party services is governed by their own terms and policies.

17. Privacy

Your use of SongWatch is also governed by our Privacy Policy, which explains how we collect, use, store, share, and protect information.

By using SongWatch, you acknowledge that you have read and understood our Privacy Policy.

18. Changes to the Service

We may modify, suspend, discontinue, limit, or remove any part of SongWatch at any time, with or without notice.

We may also change features, pricing, trial availability, subscription plans, supported browsers, notification behavior, or Spotify-related functionality.

We are not liable for any modification, suspension, or discontinuation of the Service, except where prohibited by law.

19. Termination

We may suspend or terminate your access to SongWatch if:

  • You violate these Terms.
  • Your payment fails or your subscription is cancelled.
  • You misuse the Service.
  • We believe your use creates legal, security, fraud, abuse, operational, or reputational risk.
  • We are required to do so by law or by a third-party platform provider.
  • We discontinue the Service.

You may stop using SongWatch at any time, cancel your subscription, or delete your account through the in-app account deletion feature.

Sections of these Terms that by their nature should survive termination will survive, including provisions related to payments, refunds, intellectual property, disclaimers, limitation of liability, indemnification, disputes, and general legal terms.

20. Disclaimers

SongWatch is provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, reliability, accuracy, and uninterrupted operation.

We do not warrant that:

  • SongWatch will be uninterrupted, secure, or error-free.
  • SongWatch will detect every Spotify release.
  • Notifications will be delivered, accurate, complete, or timely.
  • Spotify data will be accurate, complete, available, or current.
  • Third-party services will remain available or compatible with SongWatch.
  • Any defects or errors will be corrected.

Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.

21. Limitation of Liability

To the fullest extent permitted by law, Slipway Labs, LLC and its owners, employees, contractors, agents, service providers, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, lost business, loss of goodwill, service interruption, or missed notifications, arising out of or related to your use of or inability to use SongWatch.

To the fullest extent permitted by law, our total liability for any claim arising out of or relating to the Service or these Terms will not exceed the amount you paid to SongWatch in the three months before the event giving rise to the claim, or $50, whichever is greater.

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

22. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Slipway Labs, LLC and its owners, employees, contractors, agents, service providers, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

  • Your use of SongWatch.
  • Your violation of these Terms.
  • Your violation of applicable law.
  • Your misuse of Spotify, PayPal, or other third-party services.
  • Your infringement or violation of any rights of another person or entity.

23. Governing Law

These Terms are governed by the laws of the United States and the laws of the state where Slipway Labs, LLC is organized, without regard to conflict-of-law principles.

This governing law provision does not limit any consumer protection rights you may have under the laws of your place of residence.

24. Dispute Resolution

Before filing a claim, you agree to first contact us at patrick@songwatch.io and try to resolve the dispute informally.

If we cannot resolve the dispute informally, either party may pursue available remedies in a court or forum with proper jurisdiction, subject to these Terms and applicable law.

25. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the “Last Updated” date and may provide additional notice through the Service or by email.

Your continued use of SongWatch after updated Terms become effective means you accept the updated Terms, where permitted by law.

If you do not agree to the updated Terms, you must stop using SongWatch and cancel your subscription.
